This Purchase Order authorizes the procurement of professional Business Consultant services to be rendered by the vendor identified in Section 2. The Business Consultant shall provide comprehensive strategic advisory, operational process optimization, and organizational development consulting to the Purchasing Entity. All services shall be performed primarily at the offices located in Medellín, Colombia, with the possibility of remote engagement as mutually agreed upon in writing.

The Business Consultant shall deliver the following as part of this Purchase Order engagement:
- A comprehensive Strategic Business Plan document tailored to the Colombian market conditions, including competitive landscape analysis of the Medellín business ecosystem.
- A Process Optimization Report with actionable recommendations for reducing operational costs by a minimum of 15% within the first two quarters of implementation.
- An Organizational Development Roadmap with a 12-month change management timeline, including stakeholder engagement strategies appropriate for the local workforce in Medellín.
- A Financial Projection Model in Excel and Power BI format, incorporating Colombian tax regulations (IVA, Renta) and Antioquia departmental fiscal considerations.
- Four (4) in-person Executive Training Workshops to be conducted at the Purchasing Entity's headquarters in El Poblado, Medellín, Colombia.
- Monthly written progress reports submitted by the 5th business day of each month, detailing milestones achieved, risks identified, and recommended corrective actions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia, including the Colombian Commercial Code (Código de Comercio) and applicable regulations of the Superintendencia de Industria y Comercio.
- Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 30% upon delivery of the mid-term report (Month 2), and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account designated by the Business Consultant.
- Tax Obligations: The Business Consultant is responsible for the payment of all applicable taxes, including but not limited to IVA (19%), ICA (Impuesto al Consumo) applicable in the city of Medellín, and personal income tax (Renta) as mandated by the Colombian National Tax Authority (DIAN).
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, models, plans, and materials created specifically for the Purchasing Entity under this Purchase Order shall be the exclusive property of the Purchasing Entity upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in the city of Medellín, Antioquia, Colombia, in accordance with Law 1563 of 2012. If mediation fails, disputes shall be submitted to the competent commercial courts of Medellín.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Medellín metropolitan area.
- Compliance: The Business Consultant warrants that all services shall be performed in full compliance with Colombian labor laws, data protection regulations (Ley 1581 de 2012), and all applicable municipal ordinances of the city of Medellín.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Business Consultant in Medellín, Colombia. This document constitutes a binding commercial agreement between the parties.
