3. Scope of Services — Business Consultant Engagement

This Purchase Order is issued by Alexandria Coastal Development Group S.A.E. to formally engage the services of a qualified Business Consultant operating within the commercial and industrial zone of Egypt Alexandria. The Business Consultant shall provide comprehensive strategic advisory, operational restructuring, and market-entry analysis services tailored to the buyer's expansion plans along the northern Mediterranean coastline of Egypt Alexandria. The engagement is governed by the terms and conditions set forth in this Purchase Order and the supplementary Service Level Agreement (SLA) attached hereto as Annex A.

5. Terms and Conditions

Acceptance: This Purchase Order shall become binding upon written acceptance by the Business Consultant within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
Performance Period: All Business Consultant services shall commence no later than 1 July 2025 and shall be completed in accordance with the milestone schedule outlined in Annex B. The primary work location shall be the buyer's headquarters in Egypt Alexandria, with remote consultation permitted for up to 30% of total engagement hours.
Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the mid-project review, and 25% upon final delivery and acceptance of all Business Consultant deliverables. All payments shall be processed via bank transfer to the account specified in Section 2.
Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and financial data of the buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Intellectual Property: All reports, analyses, strategic plans, and deliverables produced by the Business Consultant under this Purchase Order shall become the exclusive property of the buyer upon full payment. The Business Consultant retains the right to reference the engagement in anonymized case studies.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall compensate the Business Consultant for all services rendered up to the termination date, plus a 10% administrative fee.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, specifically the Egyptian Commercial Code and applicable regulations of the Alexandria Governorate. Any disputes shall be resolved through arbitration at the Egyptian Arbitration Centre in Alexandria.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Egypt Alexandria, or pandemics, provided that written notice is given within 48 hours of the event.
Compliance: The Business Consultant warrants full compliance with all applicable Egyptian labor laws, tax obligations, and professional licensing requirements. The Business Consultant shall maintain valid professional indemnity insurance with a minimum coverage of EGP 5,000,000 throughout the engagement period.
