1. Acceptance: This Purchase Order constitutes a binding request for services. The Business Consultant (Al-Ahram Strategic Advisory & Consulting LLC) shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order. Failure to confirm within this period shall render this Purchase Order null and void.
2. Performance Period: The Business Consultant shall commence services no later than 1 July 2025 and shall complete all deliverables by 30 October 2025. All on-site work shall be conducted at the Egypt Cairo headquarters unless otherwise agreed in writing.
3. Payment: Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the account specified above. Invoices shall be submitted monthly. Payment is due within thirty (30) calendar days from the date of a valid invoice. Late payments shall accrue interest at the Central Bank of Egypt base rate plus 2% per annum.
4. Deliverables: The Business Consultant shall provide all reports, analyses, and recommendations in both Arabic and English. All final deliverables must be submitted to the Egypt Cairo procurement office in both hard copy (three copies) and electronic format (PDF and editable source files).
5. Confidentiality: The Business Consultant agrees to maintain strict confidentiality of all proprietary information, trade secrets, and financial data of Nile Delta Enterprise Solutions S.A.E. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
6. Compliance with Egyptian Law: All services rendered under this Purchase Order shall comply with the laws of the Arab Republic of Egypt, including but not limited to the Egyptian Civil Code, the Egyptian Commercial Code, and applicable regulations of the Egyptian Competition Authority. The Business Consultant shall hold a valid professional license to practice consulting in Egypt Cairo and the wider Egyptian jurisdiction.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, less any applicable deductions.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in accordance with the rules of the Egyptian Arbitration Center, with the seat of arbitration in Egypt Cairo. The governing law shall be the laws of the Arab Republic of Egypt.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Egypt Cairo, or pandemics, provided that written notice is given within seven (7) days of the event.
10. Intellectual Property: All work product, reports, models, and recommendations created specifically for Nile Delta Enterprise Solutions S.A.E. under this Purchase Order shall be the exclusive property of the client upon full payment. The Business Consultant retains the right to use general methodologies and frameworks not specific to the client.

This Purchase Order is issued in accordance with the internal procurement policies of Nile Delta Enterprise Solutions S.A.E. and the applicable Egyptian public and private sector procurement regulations. The Business Consultant is expected to maintain a minimum of 80% on-site presence at the Egypt Cairo office during the engagement period. Travel expenses within the Egypt Cairo metropolitan area are included in the unit prices above; any travel outside Egypt Cairo Governorate shall require prior written approval and shall be billed separately at cost.
