1. This Purchase Order constitutes a binding agreement between Atelier Rhône Digital SAS and Stratégie & Performance Consultants upon signature by both parties. All services described herein shall be performed by the designated Business Consultant or their authorized senior team members.
2. The Business Consultant shall maintain full professional confidentiality regarding all proprietary information, trade secrets, and business data encountered during the engagement in France Lyon. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
3. All on-site work shall take place at the client's premises at 12 Quai de Serbie, 69002 Lyon, France. The Business Consultant is responsible for their own travel, accommodation, and local transportation within the Lyon metropolitan area.
4. Invoicing shall be issued monthly in arrears. Payment shall be made via bank transfer (virement bancaire) within 30 calendar days of receipt of a valid invoice. Late payments shall incur interest at the rate prescribed by French law (Code monétaire et financier, Article L441-10).
5. The Business Consultant warrants that all deliverables shall be original, free from intellectual property infringement, and delivered in a professional format suitable for executive presentation.
6. Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the client shall pay for all services rendered up to the termination date, plus any non-cancellable commitments.
7. This Purchase Order shall be governed by and interpreted in accordance with the laws of the French Republic. Any disputes arising from this engagement shall be submitted to the competent courts of Lyon, France.
8. The Business Consultant shall comply with all applicable French labor regulations, data protection laws (GDPR / RGPD), and professional conduct standards throughout the duration of this engagement.
