- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the French Republic, with exclusive jurisdiction of the commercial courts of France Paris (Tribunal de Commerce de Paris).
- Business Consultant Obligations: The Business Consultant shall perform all services with the degree of skill, care, and diligence expected of a senior professional consultant operating in the France Paris business advisory sector. The Business Consultant shall comply with all applicable French professional standards, data protection regulations (RGPD/GDPR), and confidentiality obligations.
- Payment Schedule: Payment shall be made in three equal installments: 40% upon execution of this Purchase Order, 35% upon delivery of the Strategic Business Plan (Item 01), and 25% upon final completion of all services. All payments shall be made via SEPA bank transfer to the Business Consultant's designated account in France Paris.
- Confidentiality: The Business Consultant acknowledges that all information pertaining to Meridian Strategic Holdings SAS, its operations in France Paris, its clients, and its strategic plans shall be treated as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All reports, analyses, strategic plans, and deliverables produced by the Business Consultant under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Business Consultant retains the right to use anonymized, aggregated findings for academic or professional development purposes.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, plus a 10% administrative fee.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates affecting France Paris operations, or public health emergencies.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to mediation before the Chambre de Commerce et d'Industrie de Paris. Failing mediation, the dispute shall be adjudicated by the Tribunal de Commerce de Paris.
- Compliance: The Business Consultant warrants that they hold all necessary professional qualifications, registrations, and insurance to provide consulting services in France Paris and shall maintain such credentials throughout the engagement period.
- Anti-Corruption: The Business Consultant confirms compliance with French anti-corruption legislation (Loi Sapin II) and shall not offer, give, or receive any improper benefit in connection with this Purchase Order.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Business Consultant in France Paris. This document constitutes a binding commercial agreement effective from the date of the last signature.
