This Purchase Order is issued by Meridian Corporate Solutions GmbH (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Business Consultant engaged by Strategic Advisory Partners GmbH (hereinafter referred to as the "Seller"). The engagement is specifically scoped for operations within Germany Berlin and its metropolitan area, encompassing strategic advisory, organisational restructuring, process optimisation, and market-entry analysis tailored to the German regulatory and commercial environment.
The Business Consultant shall provide dedicated, full-time advisory support for a period of twelve (12) months commencing on 1 August 2025. All deliverables, on-site consultations, and client meetings shall be conducted primarily at the Buyer's headquarters located in Germany Berlin, with the option of remote engagement via secure digital channels as mutually agreed upon in writing.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order relating to the engagement of the Business Consultant in Germany Berlin shall be subject to the exclusive jurisdiction of the competent courts of Berlin, Germany.
- Payment Terms: Invoices issued by the Seller under this Purchase Order shall be payable within thirty (30) calendar days of the invoice date via SEPA bank transfer to the account designated by Strategic Advisory Partners GmbH. Late payments shall accrue interest at the statutory rate pursuant to Section 288 of the German Civil Code (BGB).
- Service Delivery: The Business Consultant shall allocate a minimum of 40 hours per week to the Buyer's engagement. All on-site work shall be performed at the Buyer's premises in Germany Berlin unless otherwise agreed in a written amendment to this Purchase Order.
- Confidentiality: Both parties acknowledge that the Business Consultant will have access to sensitive commercial, financial, and strategic information. All such information shall be treated as strictly confidential in accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR). A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
- Intellectual Property: All reports, analyses, strategic plans, and deliverables produced by the Business Consultant specifically for the Buyer under this Purchase Order shall be the exclusive intellectual property of Meridian Corporate Solutions GmbH upon full payment of the corresponding invoice.
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach by the Seller, the Buyer may terminate with immediate effect. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, pandemics, or governmental restrictions affecting operations in Germany Berlin.
- Anti-Corruption: The Seller warrants that the Business Consultant and all sub-consultants engaged under this Purchase Order shall comply with the German Anti-Corruption Act (StGB §§ 299, 331–338) and applicable EU anti-bribery regulations.
- Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties.
By signing below, both parties confirm that this Purchase Order for the engagement of a Business Consultant in Germany Berlin has been reviewed, understood, and accepted in its entirety. This document constitutes a binding commercial agreement between the parties as of the date of the last signature.
