Terms and Conditions of This Purchase Order
- This Purchase Order constitutes a binding agreement between Rhein-Main Industrial Holdings GmbH (hereinafter "the Buyer") and Steinbach Strategic Advisory GmbH, represented by Business Consultant Dr. Markus Steinbach (hereinafter "the Consultant"), for the provision of professional consulting services in Germany Frankfurt.
- All services described in this Purchase Order shall be performed primarily at the Buyer's headquarters located in Frankfurt am Main, Germany, unless otherwise agreed in writing by both parties. The Business Consultant shall ensure that all on-site engagements are scheduled with a minimum of five (5) business days' prior notice.
- The Business Consultant warrants that all deliverables, reports, strategic plans, and advisory outputs produced under this Purchase Order shall be original, confidential, and free from intellectual property claims of any third party. All work product shall remain the exclusive property of the Buyer upon full payment.
- Payment shall be made via bank transfer to the IBAN specified above within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under German commercial law (BGB §288).
- The Business Consultant shall comply with all applicable German data protection regulations, including the GDPR (EU) 2016/679 and the Bundesdatenschutzgesetz (BDSG), in the handling of any confidential business information accessed during the engagement in Germany Frankfurt.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable only for services rendered and expenses incurred up to the date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- The Business Consultant shall maintain professional indemnity insurance with a minimum coverage of 2,000,000 EUR throughout the duration of this engagement and shall provide a certificate of insurance upon request.
- All communications regarding this Purchase Order, including amendments, change orders, and progress reports, shall be conducted in writing via email to the addresses specified above. Verbal agreements shall not be binding.
- This Purchase Order is valid for a period of ninety (90) days from the date of issue. If not accepted and signed by the Business Consultant within this period, it shall automatically lapse and become void.
