The Business Consultant shall be based in and operate primarily from the Seller's office in Germany Munich, with the possibility of on-site visits to the Buyer's facilities in the Munich metropolitan area as required by the project scope.

1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller within ten (10) business days of the date of issue. The Seller's acceptance shall be communicated in writing via email to the Buyer's finance department.
2. Business Consultant Qualification: The Seller warrants that the assigned Business Consultant holds a minimum of ten (10) years of relevant consulting experience in industrial operations and strategic planning, possesses a recognized master's degree in business administration or a related field, and is fluent in both German and English. The Buyer reserves the right to request a substitute Business Consultant of equivalent or superior qualification with prior written consent.
3. Place of Performance: All services under this Purchase Order shall be rendered in Germany Munich unless otherwise agreed in writing. On-site visits to the Buyer's premises in the Munich area shall be scheduled no fewer than five (5) business days in advance.
4. Payment: Invoices issued by the Seller shall be payable within thirty (30) calendar days of the invoice date via bank transfer to the Seller's designated account. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
5. 6. The Seller retains the right to use anonymized, aggregated findings for internal knowledge purposes only.
7. Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The monthly advisory retainer (Line Item 04) may be terminated with a notice period of sixty (60) days.
8. Warranty and Liability: The Seller warrants that the Business Consultant shall perform all services with the care and diligence expected of a professional consultant under German commercial law (HGB). The Seller's total liability under this Purchase Order shall not exceed the total Purchase Order value of € 65,212.00, except in cases of gross negligence or willful misconduct.
9. Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved amicably. Failing amicable resolution, the exclusive jurisdiction of the competent court in Munich, Germany shall apply. The parties agree to the application of German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
10. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated restrictions affecting operations in Germany Munich.
11. Entire Agreement: This Purchase Order, together with any attached annexes and the NDA, constitutes the entire agreement between the parties regarding the engagement of the Business Consultant and supersedes all prior negotiations, representations, and agreements.
