1. This Purchase Order constitutes a binding agreement between Accra Enterprise Holdings Limited and the appointed Business Consultant upon signature by both parties. All terms are governed by the laws of the Republic of Ghana, specifically the Contracts Act, 1961 (Act 25) and applicable provisions of the Ghanaian Companies Act, 2019 (Act 992).
2. The Business Consultant shall perform all duties and deliverables from the designated office location in Ghana Accra, with a minimum of four (4) on-site working days per week at the client's premises. Remote work may be conducted for up to one (1) day per week with prior written approval.
3. All intellectual property, reports, strategic documents, and analytical frameworks produced under this Purchase Order shall be the sole property of Accra Enterprise Holdings Limited upon full payment of the corresponding milestone.
4. The Business Consultant is required to maintain professional indemnity insurance with a minimum coverage of GHS 2,000,000.00 throughout the engagement period and shall provide a certificate of insurance upon request.
5. Confidentiality: The Business Consultant shall treat all proprietary business information, financial data, and strategic plans of the client as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
6. Any disputes arising from this Purchase Order shall first be subject to mediation in Ghana Accra in accordance with the Mediation Act, 2010 (Act 824). Should mediation fail, the matter shall be referred to the courts of competent jurisdiction in Accra, Ghana.
7. The client reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the Business Consultant, including but not limited to failure to meet agreed deliverable timelines or violation of confidentiality obligations.
8. All invoices submitted by the Business Consultant must reference this Purchase Order number (GH-ACC-2025-00472) and shall be accompanied by a detailed timesheet and supporting documentation. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice.
9. The Business Consultant shall comply with all applicable tax obligations in Ghana, including the remittance of Personal Income Tax (PIT) and Value Added Tax (VAT) where applicable, in accordance with the provisions of the Ghana Revenue Authority.
10. This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be considered valid or enforceable.
