TDS as per Section 194J of the Income Tax Act, 1961, shall be deducted at source at the applicable rate.

1. This Purchase Order constitutes a binding agreement between TechNova Solutions Pvt. Ltd. and the named Business Consultant upon signature by both parties. The engagement is specifically scoped to services delivered in and around India Bangalore unless otherwise agreed in writing.
2. The Business Consultant shall maintain strict confidentiality regarding all proprietary information, trade secrets, financial data, and strategic plans of the issuing company. A Non-Disclosure Agreement (NDA) executed on 05 June 2025 remains in full force and effect.
3. Payment shall be made in three equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the mid-project deliverables, and 30% upon final acceptance of the comprehensive report. Each installment is due within 30 days of the respective invoice date.
4. The Business Consultant is expected to be physically present at the India Bangalore office (Whitefield Road) for a minimum of three (3) working days per week for the duration of the engagement, with the remaining days available for remote advisory support.
5. Any changes to the scope of work, timeline, or deliverables must be documented through a formal Change Order referenced to this Purchase Order number (PO/BLR/2025/04782) and approved in writing by the authorized signatory of TechNova Solutions Pvt. Ltd.
6. The Business Consultant shall comply with all applicable Indian labor laws, professional conduct standards, and regulatory requirements governing consultancy services in India Bangalore and the state of Karnataka.
7. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation. If unresolved within 30 days, the matter shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka, India.
8. This Purchase Order is subject to the Indian Contract Act, 1872, and all applicable provisions of the Goods and Services Tax (GST) Act, 2017, as enforced in India Bangalore and across India.
9. The Business Consultant shall provide weekly progress reports every Friday and a consolidated monthly summary to the Project Sponsor at TechNova Solutions Pvt. Ltd., India Bangalore office.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting India Bangalore.
