- Acceptance: This Purchase Order constitutes a formal request for the engagement of the Business Consultant. The Business Consultant shall confirm acceptance of this Purchase Order in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
- Scope of Work: The Business Consultant shall perform all services related to strategic advisory, operational consulting, and business transformation as outlined in the line items above. All work shall be conducted primarily at the client's headquarters located in Indonesia Jakarta, with remote collaboration permitted as mutually agreed upon.
- Timeline: The Business Consultant shall commence services on or before 01 July 2025 and shall complete all deliverables no later than 31 December 2025. Milestone-based progress reports shall be submitted on the last working day of each month.
- Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon project commencement, 35% upon completion of the third month deliverables, and 25% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the Business Consultant's designated account in Indonesia Jakarta.
- Tax Compliance: The Business Consultant is responsible for all applicable taxes, including but not limited to Value Added Tax (PPN) at 11% and Personal Income Tax (PPh) as mandated by the Directorate General of Taxes of the Republic of Indonesia. The Business Consultant shall provide valid tax invoices (faktur pajak) for each payment cycle.
- Confidentiality: The Business Consultant shall maintain strict confidentiality regarding all proprietary information, trade secrets, financial data, and strategic plans of PT Nusantara Strategic Solutions Tbk. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, analyses, strategies, and deliverables produced by the Business Consultant under this Purchase Order shall become the exclusive property of PT Nusantara Strategic Solutions Tbk upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Indonesian National Board of Arbitration (BANI) in Indonesia Jakarta.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government regulations, or public health emergencies affecting Indonesia Jakarta.
