This Purchase Order is issued by Alborz Industrial Development Co., Ltd. to formally engage Persia Strategic Advisory Group, a recognized Business Consultant firm operating in Iran Tehran, to provide comprehensive strategic advisory services. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Islamic Republic of Iran and all applicable commercial regulations in force in Iran Tehran. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Tehran, Iran.
- Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon delivery of the mid-project deliverables (Line Items 1–3), and 25% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the Business Consultant’s designated account in Iran Tehran.
- Performance Period: The Business Consultant shall commence work within ten (10) business days of the effective date of this Purchase Order and shall complete all services within nine (9) calendar months from the start date, unless otherwise agreed in writing.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality over all proprietary information, trade secrets, and financial data of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, models, training materials, and deliverables produced under this Purchase Order shall become the exclusive property of the Purchaser upon full payment. The Business Consultant retains the right to use anonymized, aggregated findings for academic or industry publication purposes.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting Iran Tehran, or national emergencies declared by the Iranian government.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Purchaser shall pay for all services rendered up to the termination date, and the Business Consultant shall deliver all work-in-progress materials.
- Compliance with Local Regulations: The Business Consultant warrants that all services rendered under this Purchase Order shall comply with the regulations of the Iranian Ministry of Commerce, the Tehran Chamber of Commerce, and all applicable labor and tax laws in Iran Tehran.
- Language of Documents: While this Purchase Order is drafted in English for clarity, the official legal language of record shall be Persian (Farsi). In the event of any discrepancy between the English and Persian versions, the Persian version shall prevail.
