2. SCOPE OF ENGAGEMENT — BUSINESS CONSULTANT SERVICES

This Purchase Order is issued by Levant Digital Solutions Ltd. to formally engage Horizon Strategy & Consulting Group as a Business Consultant to provide strategic advisory, operational optimization, and market-entry planning services. The Business Consultant shall perform all professional duties in accordance with the standards expected of a licensed management consultant operating within Israel Tel Aviv and in compliance with the Israeli Companies Law, 5759-1999, and the relevant regulations of the Israel Tax Authority. The engagement is specifically tailored to the commercial and regulatory environment of Israel Tel Aviv, including but not limited to local labor market analysis, municipal licensing requirements, and sector-specific compliance obligations applicable to businesses registered in the Tel Aviv-Yafo municipality.

4. PAYMENT TERMS & INSTRUCTIONS

All payments under this Purchase Order shall be made in Israeli New Shekels (ILS) via bank transfer to the account of Horizon Strategy & Consulting Group. The Business Consultant shall submit itemized invoices on a monthly basis, and payment shall be due within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate prescribed by the Israeli Interest Law, 5713-1953, as amended. The buyer shall remit funds to the following account:

5. TERMS AND CONDITIONS

1. This Purchase Order constitutes a binding agreement between the parties upon signature and shall be governed by and interpreted in accordance with the laws of the State of Israel, specifically the laws applicable in Israel Tel Aviv.
2. The Business Consultant shall maintain full professional confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed by the buyer during the course of the engagement. A separate Non-Disclosure Agreement (NDA) executed on 10 June 2025 supplements this Purchase Order.
3. All deliverables, reports, and strategic documents produced by the Business Consultant shall become the exclusive intellectual property of Levant Digital Solutions Ltd. upon full payment of the fees stipulated herein.
4. The Business Consultant warrants that all services shall be performed in a professional, diligent, and workmanlike manner consistent with the standards of practice for management consultants registered with the Israeli Institute of Management Consultants.
5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall be liable for all services rendered up to the termination date, plus a cancellation fee of 10% of the remaining contract value.
6. All disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel. The parties agree to attempt mediation through the Tel Aviv District Court Mediation Center before initiating any formal litigation.
7. The Business Consultant shall comply with all applicable Israeli labor laws, social security obligations (Bituach Leumi), and tax withholding requirements. The consultant is engaged as an independent contractor and not as an employee of the buyer.
8. Force majeure events, including but not limited to acts of war, terrorism, government sanctions, or public health emergencies affecting Israel Tel Aviv, shall suspend the obligations of both parties for the duration of the event, provided that written notice is given within five (5) business days.
9. This Purchase Order is valid for a period of six (6) months from the date of issue. Any amendments or modifications must be made in writing and signed by authorized representatives of both parties.
10. The Business Consultant shall carry professional indemnity insurance with a minimum coverage of ILS 2,000,000, valid throughout the term of this engagement in Israel Tel Aviv.
