- Scope & Location: All services under this Purchase Order shall be performed primarily at the Buyer's premises located in Milan, Italy, or at mutually agreed locations within the Milan metropolitan area. The Business Consultant acknowledges and agrees to comply with all applicable Italian labor regulations, data protection laws (GDPR and Italian D.Lgs. 196/2003), and local business practices specific to Italy Milan.
- Payment Terms: Payment shall be made in three equal installments of €34,566.67 (including VAT) via bank transfer (bonifico bancario) to the account specified by the Business Consultant. The first installment is due upon execution of this Purchase Order, the second upon completion of Month 3 deliverables, and the third upon final acceptance of all deliverables. Payment terms are net 30 days from invoice date in accordance with Italian commercial practice.
- Confidentiality: The Business Consultant shall maintain strict confidentiality over all proprietary information, trade secrets, and business data of Lombardi Industrial Group S.p.A. This obligation survives the termination of this Purchase Order for a period of five (5) years, in compliance with Italian confidentiality law.
- Intellectual Property: All reports, analyses, models, and deliverables produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Business Consultant retains the right to use anonymized, aggregated findings for internal methodology improvement only.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, and all work-in-progress deliverables shall be handed over.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be submitted to the exclusive jurisdiction of the Court of Milan, Italy, in accordance with Italian procedural law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Milan region, as defined under Article 1218 of the Italian Civil Code.
- Anti-Corruption & Compliance: The Business Consultant warrants compliance with all Italian anti-corruption legislation (D.Lgs. 231/2001) and confirms that no part of the fees under this Purchase Order shall be used for improper payments or inducements.
