1. Acceptance & Binding Effect: This Purchase Order constitutes a binding commercial agreement between the Purchasing Entity and the Service Provider upon written acceptance by both parties. The Business Consultant engaged under this Purchase Order shall commence services no later than 1 July 2025 at the designated premises in Italy Naples.
2. Payment Terms: Payment shall be made in three equal instalments: 40% upon execution of this Purchase Order, 40% upon completion of Line Items 01 through 04, and 20% upon final delivery of all Business Consultant deliverables and written acceptance by the Purchasing Entity. All payments shall be transferred via SEPA bank transfer to the account of Consulenza d'Impresa Partenopea S.r.l. in Italy Naples. Payment is due within 30 days of invoice receipt.
3. Performance Standards: The Business Consultant shall adhere to the professional standards established by the Italian Association of Business Consultants (AIC) and shall maintain full professional liability insurance valid throughout the Italy Naples service period. All work products shall be delivered in both Italian and English.
4. Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and strategic data of Mediterranea Strategia S.r.l. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the termination date, as documented in this Purchase Order.
6. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Italy Naples (Tribunale di Napoli).
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Italy Naples region.
8. Intellectual Property: All reports, analyses, models, and strategic documents produced by the Business Consultant under this Purchase Order shall become the exclusive property of Mediterranea Strategia S.r.l. upon full payment.
