Scope of Engagement — Business Consultant ServicesThis Purchase Order is issued by TechNova Solutions S.r.l. to formally engage Strategia & Vision Consulting S.r.l. to provide comprehensive Business Consultant services within the metropolitan area of Italy Rome. The Business Consultant shall deliver strategic advisory, operational process optimization, market analysis, and organizational development support to the Purchasing Entity. All services under this Purchase Order shall be performed primarily at the offices of TechNova Solutions S.r.l. located in central Rome, Italy, with the possibility of on-site visits to client locations throughout the Lazio region as mutually agreed upon in writing.

- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order relating to the Business Consultant engagement in Italy Rome shall be subject to the exclusive jurisdiction of the Tribunale di Roma (Court of Rome).
- Payment Schedule: Payment shall be made in four equal instalments of €34,800.50 (EUR) via bank transfer (bonifico bancario) to the account of Strategia & Vision Consulting S.r.l. The first instalment is due upon execution of this Purchase Order; subsequent instalments are due at the 25%, 50%, and 75% completion milestones of the Business Consultant deliverables as defined in the attached Statement of Work.
- Performance Location: All services rendered by the Business Consultant under this Purchase Order shall be performed at the premises of TechNova Solutions S.r.l., Via del Corso 142, 00187 Rome, Italy, unless otherwise agreed in writing. The Business Consultant shall comply with all site access protocols and health-and-safety regulations applicable in Italy Rome.
- Confidentiality: The Business Consultant acknowledges that all proprietary information, trade secrets, and confidential data of TechNova Solutions S.r.l. accessed during the engagement in Italy Rome shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent, in accordance with Italian data protection legislation (D.Lgs. 196/2003 as amended by GDPR).
- Intellectual Property: All reports, analyses, strategic plans, and deliverables produced by the Business Consultant specifically for TechNova Solutions S.r.l. under this Purchase Order shall be the exclusive intellectual property of the Purchasing Entity upon full payment.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to TechNova Solutions S.r.l.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Italy Rome, or acts of war, provided that the affected party notifies the other within 5 business days.
- Anti-Corruption: The Business Consultant warrants compliance with all applicable anti-corruption and anti-money-laundering legislation in force in Italy, including D.Lgs. 231/2001 and related provisions.
