1.1 Buyer (Purchasing Entity)

Société Africaine de Développement Stratégique (SADS), a limited liability company duly registered under the laws of the Republic of Côte d'Ivoire, with its principal office located at 12 Boulevard de la Paix, Cocody, Abidjan, Ivory Coast. Hereinafter referred to as the "Buyer."

1.2 Seller (Service Provider)

Monsieur Jean-Marc Koffi, operating under the professional designation of "Koffi Strategic Advisory," a certified Business Consultant registered with the Chambre de Commerce et d'Industrie d'Abidjan (CCI Abidjan), with a professional office at 8 Avenue de l'Indépendance, Plateau, Abidjan, Ivory Coast. Hereinafter referred to as the "Business Consultant" or the "Seller."

This Purchase Order is issued to formally engage the Business Consultant to deliver comprehensive strategic advisory services to the Buyer. The scope of work encompasses the following deliverables, all to be executed within the Ivory Coast Abidjan business environment:

• Conduct a full operational audit of the Buyer's existing business processes across all departments located in Abidjan, Ivory Coast.
• Develop a three-year strategic growth plan tailored to the West African market, with specific focus on the Ivory Coast Abidjan economic corridor.
• Provide monthly on-site advisory sessions at the Buyer's headquarters in Cocody, Abidjan, Ivory Coast, for a period of twelve (12) months.
• Deliver a competitive market analysis of the Ivory Coast Abidjan sector, including regulatory compliance review under Ivorian commercial law.
• Design and implement a talent acquisition and retention framework suited to the Ivory Coast Abidjan labor market.
• Prepare a final comprehensive report summarizing all findings, recommendations, and implementation roadmaps.

All prices are quoted in West African CFA Francs (XOF). The Business Consultant shall provide all invoices in XOF. Payment shall be made via bank transfer to the account designated by the Business Consultant in Ivory Coast Abidjan.

• Advance Payment: 25% of the total Purchase Order value (7,670,000 XOF) shall be paid within ten (10) business days of the signed acceptance of this Purchase Order.
• Milestone Payments: 50% of the total value shall be disbursed in equal monthly installments aligned with the completion of each advisory session, payable within fifteen (15) business days of invoice submission.
• Final Payment: The remaining 25% shall be due within twenty (20) business days of the delivery and formal acceptance of the Final Comprehensive Report.
• All payments shall be made to: Banque Atlantique Côte d'Ivoire, Account No. 0001234567890, IBAN: CI18 0001 2345 6789 0, in Abidjan, Ivory Coast.

• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire, including the Ivorian Commercial Code and applicable regulations of the Ivory Coast Abidjan jurisdiction.
• Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
• Intellectual Property: All reports, plans, frameworks, and deliverables produced under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Business Consultant retains no rights to reproduce or distribute such materials.
• Performance Period: The Business Consultant shall commence services no later than 1 July 2025 and shall complete all deliverables by 30 June 2026, all work to be performed in or around Ivory Coast Abidjan.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
• Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial courts of Abidjan, Ivory Coast.
• Compliance: The Business Consultant warrants full compliance with all applicable Ivorian labor laws, tax obligations, and professional licensing requirements in Ivory Coast Abidjan.

This Purchase Order is issued under the authority of the undersigned and becomes effective upon countersignature by both parties. The Business Consultant acknowledges receipt and acceptance of all terms contained herein by affixing their signature below.
