• Payment shall be made in Japanese Yen (JPY) via bank transfer to the vendor account specified in the contract annex.
• 30% advance payment upon acceptance of this Purchase Order: ¥7,151,100
• 40% milestone payment upon completion of Items 001 and 002: ¥9,534,800
• 30% final payment upon delivery of the final Business Consultant report and Board presentation: ¥7,151,100
• All payments are due within 30 days of invoice receipt. Late payments shall accrue interest at 1.5% per month as per Japanese commercial practice.
• Invoices must be issued in accordance with Japan's Qualified Invoice System (e-Tax / 適格請求書) effective from October 2023.

• This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
• The Business Consultant shall maintain full confidentiality of all proprietary information, trade secrets, and strategic data of Tanaka Holdings K.K. A separate Non-Disclosure Agreement (NDA) executed in both Japanese and English shall accompany this Purchase Order.
• The Business Consultant is engaged as an independent contractor and not as an employee of Tanaka Holdings K.K. The Business Consultant shall be responsible for all personal income tax, social insurance, and national health insurance obligations in Japan.
• All on-site work shall be conducted at the Japan Tokyo headquarters unless otherwise approved in writing by the Project Manager. The Business Consultant shall comply with all building access, security, and safety protocols of the Tokyo office.
• Intellectual property created specifically for Tanaka Holdings K.K. under this Purchase Order shall vest in the Buyer upon full payment. Pre-existing frameworks, methodologies, and templates of the Business Consultant remain the property of the vendor.
• Either party may terminate this Purchase Order with 14 days' written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the termination date, plus a 10% administrative fee.
• The Business Consultant shall provide weekly progress reports in both Japanese and English to the Project Manager at the Japan Tokyo office.
• This Purchase Order does not constitute a guarantee of specific business outcomes. The Business Consultant's obligation is to exercise reasonable professional skill, care, and diligence consistent with industry standards in Japan Tokyo.

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Business Consultant in Japan Tokyo. This document, together with the attached Statement of Work (SOW) and NDA, constitutes the complete agreement between the parties regarding the scope, compensation, and conditions of the Business Consultant engagement.
