1. This Purchase Order constitutes a binding agreement between Almaty Enterprise Solutions LLP and Strategic Advisory Partners LLC for the provision of Business Consultant services in Kazakhstan Almaty. Both parties acknowledge and accept all terms herein upon signature.
2. The Business Consultant shall maintain full professional confidentiality regarding all proprietary information, trade secrets, and strategic data disclosed during the engagement in Kazakhstan Almaty. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A to this Purchase Order.
3. All services rendered by the Business Consultant shall comply with the applicable laws and regulations of the Republic of Kazakhstan, including but not limited to the Tax Code of Kazakhstan, the Civil Code provisions on service contracts, and local labor regulations governing professional consultants operating in Kazakhstan Almaty.
4. The Business Consultant shall dedicate a minimum of 60% of professional working hours to this engagement during the contract period. Any substitution of the primary Business Consultant requires prior written approval from the Buyer.
5. Deliverables shall be submitted in both Kazakh and English languages. All reports, presentations, and advisory documents produced by the Business Consultant must be delivered in electronic format (PDF and editable) within five (5) business days of completion.
6. The Buyer reserves the right to request revisions to any deliverable produced by the Business Consultant. Up to two (2) rounds of revisions per deliverable are included in the Purchase Order pricing. Additional revisions shall be billed at the hourly rate of 150,000 KZT per hour.
7. Payment shall be processed via bank transfer to the account specified above. The 40% advance payment is due within ten (10) business days of the Purchase Order effective date. The remaining 60% shall be paid within fifteen (15) business days of final acceptance of all deliverables by the Buyer's Chief Executive Officer.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Kazakhstan Almaty.
9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the International Arbitration Center at the Astana International Financial Centre, Kazakhstan.
10. This Purchase Order is valid for a period of one hundred and eighty (180) days from the date of issuance. Failure to execute within this period shall render this document null and void unless renewed in writing by both parties.
