- This Purchase Order constitutes a formal and binding agreement between Savanna Ridge Enterprises Ltd. and Apex Strategic Advisory & Consulting Group Ltd. for the engagement of the named Business Consultant for the services described herein.
- All services shall be performed primarily at the client's office located in Kenya Nairobi, Westlands, unless otherwise agreed in writing by both parties. The Business Consultant is expected to be physically present in Kenya Nairobi for a minimum of four (4) working days per week during active engagement periods.
- The Business Consultant shall comply with all applicable Kenyan laws, including the Kenya Information and Communications Act, the Data Protection Act (2019), and all relevant regulations of the Capital Markets Authority and the Competition Authority of Kenya where applicable.
- Payment shall be made in Kenyan Shillings (KES) via bank transfer to the account specified above. Invoices shall be submitted at the completion of each milestone as outlined in the service schedule. Payment is due within thirty (30) calendar days of receipt of a valid invoice.
- The Business Consultant shall maintain strict confidentiality regarding all proprietary information, trade secrets, financial data, and strategic plans of Savanna Ridge Enterprises Ltd. A separate Non-Disclosure Agreement (NDA) has been executed and is incorporated into this Purchase Order by reference.
- All intellectual property, reports, strategies, and deliverables produced by the Business Consultant under this Purchase Order shall become the sole property of Savanna Ridge Enterprises Ltd. upon full payment.
- The Business Consultant shall provide weekly written progress reports every Friday and shall attend monthly review meetings in Kenya Nairobi as scheduled by the Corporate Strategy Division.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995.
- The Business Consultant shall carry professional indemnity insurance with a minimum cover of KES 10,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
