The engagement of this Business Consultant is required to support the strategic transformation programme of the Purchaser, including organisational restructuring, operational efficiency analysis, market entry strategy for the ASEAN region, and digital transformation roadmap development. All services shall be delivered in accordance with the professional standards expected of a qualified Business Consultant practising in Malaysia Kuala Lumpur and in compliance with the Malaysian Companies Act 2016 and applicable regulatory requirements.

1. This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier upon countersignature. All terms herein govern the provision of Business Consultant services in Malaysia Kuala Lumpur.
2. The Business Consultant shall commence services on 01 July 2025 and shall complete all deliverables no later than 31 December 2025, unless otherwise agreed in writing by both parties.
3. All on-site consultations, workshops, and meetings shall be conducted at the Purchaser's premises located in Malaysia Kuala Lumpur, or at such other location within the Federal Territory of Kuala Lumpur as mutually agreed upon.
4. Payment shall be made within thirty (30) days from the date of invoice issuance. Invoices shall be submitted in Malaysian Ringgit (MYR) and shall reference this Purchase Order number (PO-MSL-2025-00472).
5. The Business Consultant shall maintain full professional confidentiality regarding all proprietary information, trade secrets, and strategic data of the Purchaser. A separate Non-Disclosure Agreement (NDA) executed on 01 June 2025 shall remain in full force and effect throughout the engagement and for a period of three (3) years thereafter.
6. The Supplier warrants that the Business Consultant assigned to this engagement holds relevant professional qualifications, including but not limited to Chartered Management Consultant (CMC) accreditation, and possesses a minimum of fifteen (15) years of experience in corporate strategy consulting within the Malaysian and broader ASEAN business environment.
7. Any changes to the scope of Business Consultant services, additional hours, or revised deliverables must be approved in writing via a formal Purchase Order amendment before work commences. No additional charges shall be incurred without prior written authorisation from the Purchaser's Head of Procurement.
8. The Supplier shall comply with all applicable laws and regulations of Malaysia, including the Personal Data Protection Act 2010 (PDPA), the Employment Act 1955, and the Companies Act 2016, in the course of providing Business Consultant services in Malaysia Kuala Lumpur.
9. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be referred to mediation under the rules of the Asian International Arbitration Centre (AIAC) in Malaysia Kuala Lumpur, and failing mediation, to arbitration seated in Kuala Lumpur, Malaysia.
10. This Purchase Order is governed by and shall be construed in accordance with the laws of Malaysia. The courts of Malaysia Kuala Lumpur shall have exclusive jurisdiction over any matters not resolved through arbitration.
11. The Business Consultant shall provide weekly progress reports to the Purchaser's Project Steering Committee and shall attend bi-weekly review meetings held at the Purchaser's office in Malaysia Kuala Lumpur.
12. Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Malaysia Kuala Lumpur, shall relieve the affected party from performance obligations for the duration of such event, provided written notice is given within five (5) business days.
