- This Purchase Order constitutes a binding agreement between Golden Pagoda Trading & Services Co., Ltd. (hereinafter "the Client") and the designated Business Consultant (hereinafter "the Consultant") for the provision of professional advisory services in Myanmar Yangon.
- The Business Consultant shall commence all services no later than 1 July 2025 and shall complete all project-based deliverables within the timelines specified in the service schedule above. The monthly advisory retainer shall run from 1 July 2025 through 30 June 2026.
- All services shall be performed in accordance with the professional standards and ethical guidelines established by the Myanmar Institute of Management Consultants and applicable laws of the Republic of the Union of Myanmar.
- Payment shall be made in Myanmar Kyat (MMK) via bank transfer to the Consultant's designated account at AYA Bank, Yangon Central Branch. Invoices shall be submitted at the completion of each project milestone or on the last business day of each month for the retainer engagement.
- The Client reserves the right to request revisions to any deliverable produced by the Business Consultant within fourteen (14) calendar days of initial submission. One round of revisions is included in the stated fees; additional revisions shall be billed at MMK 150,000 per hour.
- All reports, analyses, strategic plans, and intellectual property developed by the Business Consultant under this Purchase Order shall become the exclusive property of the Client upon full payment of the corresponding invoice.
- The Business Consultant shall maintain strict confidentiality regarding all proprietary business information, financial data, and strategic plans of the Client. A separate Non-Disclosure Agreement (NDA) has been executed on 10 June 2025 and remains in full force for a period of three (3) years following the conclusion of this engagement.
- All on-site meetings, workshops, and advisory sessions shall be conducted at the Client's premises located at 125 Sule Avenue, Kyauktada Township, Myanmar Yangon, unless otherwise agreed in writing by both parties.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Client shall pay for all services rendered up to the date of termination, and the Business Consultant shall deliver all completed work product.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Myanmar Yangon in accordance with the Myanmar Arbitration Law. If mediation fails, the matter shall be referred to the competent courts in Myanmar Yangon.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of the Union of Myanmar.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order for the engagement of the Business Consultant in Myanmar Yangon.
