1. Scope of Business Consultant Services

This Purchase Order is issued by Himalayan Enterprise Solutions Pvt. Ltd., a registered company operating in Nepal Kathmandu, to engage the services of Ms. Anjali Gurung, a certified Business Consultant, for the provision of comprehensive strategic advisory services. The Business Consultant shall deliver the following professional services as outlined in this Purchase Order document:

2. Terms and Conditions of This Purchase Order

2.1 This Purchase Order constitutes a binding agreement between the Purchaser and the Business Consultant for the professional services described herein. All services shall be rendered in accordance with the professional standards expected of a Business Consultant operating in Nepal Kathmandu.

2.2 The Business Consultant shall commence work within seven (7) calendar days of the acceptance of this Purchase Order. All on-site consultations shall take place at the Purchaser's registered office located in Nepal Kathmandu, New Road, Kathmandu Metropolitan City.

2.3 Payment Terms: The Purchaser shall make payment within thirty (30) days of receipt of a valid tax invoice from the Business Consultant. Payment shall be made via bank transfer to the account designated by the Business Consultant. A 13% Value Added Tax (VAT) as mandated by the Inland Revenue Department of Nepal shall be applied to all service charges.

2.4 The Business Consultant shall maintain strict confidentiality regarding all proprietary information, financial data, and strategic plans of the Purchaser. This confidentiality obligation shall survive the termination of this Purchase Order for a period of three (3) years.

2.5 The Business Consultant is engaged as an independent contractor and not as an employee of the Purchaser. The Business Consultant shall be responsible for all personal income tax obligations as per the tax laws of Nepal.

2.6 Deliverables: The Business Consultant shall submit all reports, analyses, and recommendations in both printed and digital (PDF) format. All deliverables specific to the Nepal Kathmandu market shall include local regulatory compliance references and alignment with Nepal's current economic policies.

2.7 Cancellation: Either party may cancel this Purchase Order with a written notice of fourteen (14) days. In the event of cancellation by the Purchaser, payment shall be made for all services rendered up to the date of cancellation.

2.8 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved, the matter shall be referred to the competent court of law in Kathmandu, Nepal, in accordance with the Civil Procedure Code of Nepal.

2.9 This Purchase Order is governed by the laws of the Kingdom of Nepal. All references to "Nepal Kathmandu" in this document refer to the geographic and administrative jurisdiction of Kathmandu Metropolitan City, Bagmati Province, Nepal.

3. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for Business Consultant services in Nepal Kathmandu.
