1. This Purchase Order constitutes a binding agreement between Van der Berg & Partners B.V. (hereinafter "the Client") and Strategic Advisory Group N.V. (hereinafter "the Business Consultant Provider") for the provision of Business Consultant services as described herein. All services shall be performed in accordance with the professional standards expected of a Business Consultant operating in the Netherlands Amsterdam market.
2. The Business Consultant shall devote the hours specified in this Purchase Order to the Client's project. Any additional hours beyond the agreed scope require prior written approval from the Client's Procurement Director and shall be billed at the rates specified in this document.
3. All deliverables produced by the Business Consultant shall be the exclusive intellectual property of the Client upon full payment. The Business Consultant shall not reuse, republish, or disclose any proprietary information obtained during the engagement in the Netherlands Amsterdam office or any other location.
4. Payment shall be made via bank transfer to the account specified by the Business Consultant Provider within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate as defined under Dutch civil law (Burgerlijk Wetboek, Book 6).
5. The Business Consultant shall comply with all applicable Dutch data protection regulations, including the GDPR and the Dutch UAVG (Uitvoeringswet AVG), when handling any personal data encountered during the engagement.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Client shall pay for all services rendered up to the termination date, as documented by the Business Consultant's timesheets.

9. The Business Consultant shall maintain professional indemnity insurance with a minimum coverage of €2,500,000 for the duration of this engagement and shall provide a certificate of insurance upon request.
