- Scope of Engagement: The Business Consultant shall perform all services in accordance with the scope outlined in this Purchase Order. Any additional services beyond the stated scope require written amendment to this Purchase Order, approved by both parties.
- Place of Performance: All consultancy services shall be primarily delivered at the Buyer's premises located at 201 Queen Street, Auckland CBD, New Zealand. Remote work from the Business Consultant's Ponsonby office in Auckland is permitted with prior written consent.
- Confidentiality: The Business Consultant shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of Harbourview Strategic Holdings Ltd. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, analyses, models, and deliverables produced by the Business Consultant under this Purchase Order shall become the sole property of the Buyer upon full payment of the relevant invoice.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of the invoice date via bank transfer to the Business Consultant's nominated New Zealand bank account. Late payments shall attract interest at the rate prescribed under the New Zealand Commerce Act 1986.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Insurance: The Business Consultant shall maintain professional indemnity insurance of no less than NZD $5,000,000 and public liability insurance of no less than NZD $10,000,000 throughout the term of this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be resolved through the Dispute Resolution Service of the New Zealand courts, with jurisdiction in Auckland.
- Health and Safety: The Business Consultant shall comply with all obligations under the Health and Safety at Work Act 2015 (New Zealand) while on the Buyer's premises in Auckland.
- Anti-Bribery and Corruption: The Business Consultant warrants compliance with the New Zealand Crimes Act 1961 and the Corruption, Fraud and Other Financial Misdeeds Act 2006.
