The Business Consultant engaged under this Purchase Order shall deliver the following services to support Harbourview Strategic Solutions Ltd in its New Zealand Wellington operations and broader regional strategy:

The following terms govern this Purchase Order and the engagement of the Business Consultant:
- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and applicable New Zealand Wellington commercial regulations.
- Confidentiality: The Business Consultant shall maintain strict confidentiality regarding all proprietary information, trade secrets, and strategic data of Harbourview Strategic Solutions Ltd. A separate Non-Disclosure Agreement (NDA) is attached as Schedule A to this Purchase Order.
- Intellectual Property: All deliverables, reports, frameworks, and recommendations produced by the Business Consultant under this Purchase Order shall become the sole intellectual property of Harbourview Strategic Solutions Ltd upon full payment.
- Payment Schedule: Payment shall be made in three instalments: 30% upon execution of this Purchase Order, 40% upon delivery of the mid-project review, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account specified by the Business Consultant.
- Performance Standards: The Business Consultant shall adhere to the professional standards set by the New Zealand Institute of Management Consultants (NZIMC) and shall maintain all necessary professional indemnity insurance with a minimum cover of NZD $5,000,000.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, less any outstanding deliverables.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in New Zealand Wellington. If mediation fails, disputes shall be referred to the District Court of Wellington, New Zealand.
- Health and Safety: The Business Consultant shall comply with all obligations under the Health and Safety at Work Act 2015 (New Zealand) during any on-site engagement at the Wellington office premises.
All deliverables under this Purchase Order shall be submitted to the Project Manager at Harbourview Strategic Solutions Ltd, Level 4, 128 Lambton Quay, Wellington Central, Wellington 6011, New Zealand, or via secure electronic transfer to the designated project email. The Business Consultant shall allow a minimum of 10 business days for review and acceptance of each deliverable. Failure to raise written objections within this period shall constitute acceptance.
Note: This Purchase Order is subject to the approval of the Harbourview Strategic Solutions Ltd Board of Directors. The Business Consultant shall not commence any work until written confirmation of approval has been received. All rates quoted are in New Zealand Dollars (NZD) and are inclusive of all travel within the Wellington region.
