This Purchase Order is issued by Meridian Pacific Holdings, Inc. to engage the services of Strategic Edge Consulting Group, Inc. for the provision of specialized Business Consultant services. The Business Consultant shall deliver strategic advisory, operational process optimization, and organizational development support as outlined below. All services shall be performed within the Philippines Manila metropolitan area unless otherwise agreed in writing.

1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Business Consultant or the Business Consultant's authorized representative within five (5) business days of issuance.
2. Performance Location: All on-site services, meetings, and deliverable presentations shall be conducted at the Philippines Manila offices of Meridian Pacific Holdings, Inc., or at such other location within the Philippines Manila metro area as mutually agreed upon in writing.
3. Deliverables: The Business Consultant shall submit all reports, presentations, and strategic documents in both printed and digital (PDF) format. Final deliverables are due within ten (10) business days of the completion of each phase.
4. Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon commencement, 35% upon mid-project milestone approval, and 25% upon final acceptance of all deliverables. Invoices shall be submitted to the Philippines Manila accounts payable department.
5. Confidentiality: The Business Consultant agrees to maintain strict confidentiality of all proprietary information, trade secrets, and financial data of Meridian Pacific Holdings, Inc. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
6. Intellectual Property: All work products, reports, and strategic frameworks created specifically for Meridian Pacific Holdings, Inc. under this Purchase Order shall be the sole property of the Buyer. The Business Consultant retains the right to use general methodologies and pre-existing frameworks.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, less any applicable deductions.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Philippines Manila, in accordance with the rules of the Philippine Dispute Resolution Center. If mediation fails, disputes shall be submitted to the courts of competent jurisdiction in Philippines Manila.
9. Compliance: The Business Consultant warrants full compliance with all applicable laws of the Republic of the Philippines, including but not limited to the Philippine Labor Code, the Data Privacy Act of 2012 (RA 10173), and all Bureau of Internal Revenue (BIR) regulations applicable to professional service engagements in Philippines Manila.
10. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Philippines Manila region.

This Purchase Order is issued and authorized by the undersigned on behalf of Meridian Pacific Holdings, Inc. The Business Consultant, Strategic Edge Consulting Group, Inc., acknowledges receipt of this Purchase Order and agrees to perform the services described herein in full compliance with all stated terms and conditions.
