This Purchase Order is issued by Gulf Horizon Development LLC to formally engage Meridian Strategic Advisory FZ-LLC to provide the services of a qualified Business Consultant for a defined period in Qatar Doha. - Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier. The Supplier must confirm acceptance within five (5) business days of receipt of this document. Failure to respond within this period shall constitute a declination of this Purchase Order.
- Scope of Services: The Business Consultant engaged under this Purchase Order shall provide all advisory, analytical, and strategic services as described in the line items above. The Business Consultant shall maintain professional independence and shall not be deemed an employee of the Buyer. All work shall be conducted primarily at the Buyer's offices in Qatar Doha or at mutually agreed locations within the State of Qatar.
- Payment: Payment shall be made within thirty (30) calendar days from the date of a valid invoice submitted by the Supplier. Invoices must reference this Purchase Order number (PO-QD-2025-04872) and include the Supplier's VAT registration number. Payment shall be made via bank transfer to the account designated by the Supplier in Qatar Doha.
- Confidentiality: The Business Consultant shall treat all proprietary information, trade secrets, and business data of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years. The Business Consultant shall not disclose any information related to the Buyer's operations in Qatar Doha to any third party without prior written consent.
- Intellectual Property: All reports, analyses, strategies, and deliverables produced by the Business Consultant specifically for the Buyer under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Business Consultant retains ownership of pre-existing methodologies and frameworks.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Business Consultant shall deliver all completed and in-progress work products to the Buyer within fourteen (14) days of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Qatar. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Qatar Doha.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Qatar Doha.
- Compliance: The Business Consultant shall comply with all applicable laws and regulations of the State of Qatar, including but not limited to the Qatar Labour Law, Qatar Commercial Companies Law, and regulations issued by the Qatar Financial Centre (QFC) where applicable.
- Entire Agreement: This Purchase Order, together with any attached Statements of Work, constitutes the entire agreement between the parties regarding the engagement of the Business Consultant for services in Qatar Doha and supersedes all prior negotiations, representations, and agreements.
