- 2.1 This Purchase Order constitutes a binding agreement between the Buyer and the Business Consultant upon signature by both authorized representatives. All services shall be rendered in Saudi Arabia Jeddah unless otherwise agreed in writing.
- 2.2 The Business Consultant shall dedicate a minimum of 40 hours per week to this engagement and shall report progress to the Buyer's Project Director on a bi-weekly basis via written reports and in-person meetings at the Jeddah office.
- 2.3 All deliverables produced by the Business Consultant shall be the exclusive intellectual property of Al-Madina Strategic Holdings LLC upon full payment. The Business Consultant shall not reuse, redistribute, or disclose proprietary information to third parties without written consent.
- 2.4 Payment shall be made via bank transfer to the Business Consultant's designated account in Saudi Arabia within 30 calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at 1.5% per month as per Saudi Arabian commercial law.
- 2.5 The Business Consultant shall comply with all applicable laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Labor Law, the Anti-Corruption Law, and data protection requirements under the Personal Data Protection Law (PDPL).
- 2.6 Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the termination date, less any uncompleted deliverables.
- 2.7 The Business Consultant shall maintain professional indemnity insurance with a minimum coverage of SAR 1,000,000 for the duration of this engagement in Saudi Arabia Jeddah.
- 2.8 All disputes arising from this Purchase Order shall be resolved through the competent courts of Jeddah, Kingdom of Saudi Arabia, in accordance with the Saudi Arabian legal framework.
By signing below, both parties acknowledge and agree to the terms outlined in this Purchase Order for the engagement of the Business Consultant in Saudi Arabia Jeddah. This document shall be executed in two (2) original copies, one for each party.
