This Purchase Order authorizes the procurement of specialized Business Consultant services to be performed exclusively within the jurisdiction of Senegal Dakar. All payments under this Purchase Order shall be made in West African CFA Francs (XOF) via bank transfer to the Business Consultant's designated account at a licensed financial institution in Senegal Dakar. The payment schedule is as follows:

• 30% advance payment (XOF 6,389,700) due within 10 business days of acceptance of this Purchase Order.
• 40% milestone payment (XOF 8,519,600) due upon delivery and client sign-off of the Strategic Business Plan and Operational Efficiency Audit.
• 30% final payment (XOF 6,389,700) due upon completion of the full 6-month advisory retainer period.

Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the commercial practices standard in Senegal Dakar.

All services rendered under this Purchase Order shall be physically performed in Senegal Dakar, with the primary work location being the client's office at Boulevard du Général De Gaulle, Plateau, Senegal Dakar. The Business Consultant is expected to be present on-site in Senegal Dakar for a minimum of three (3) full business days per week during the active engagement period. Remote work from other locations within Senegal is permissible only with prior written consent from the client's project manager.

1. This Purchase Order is governed by the laws of the République du Sénégal, particularly the Code de Commerce and applicable provisions of the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) uniform acts as applied in Senegal Dakar.
2. The Business Consultant warrants that all deliverables shall be original, free from intellectual property encumbrances, and compliant with Senegalese data protection regulations (Loi n° 2008-12 du 25 février 2008).
3. Confidentiality: The Business Consultant shall maintain strict confidentiality regarding all proprietary information of Groupe Sahel Investissements S.A. for a period of three (3) years following the termination of this Purchase Order.
4. Dispute resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith mediation in Senegal Dakar. Failing resolution within 30 days, the matter shall be referred to the competent commercial court of Senegal Dakar.
5. The Business Consultant shall carry professional indemnity insurance with a minimum coverage of XOF 50,000,000, valid throughout the engagement period in Senegal Dakar.
6. Force majeure events, including but not limited to civil unrest, epidemics, or government-mandated closures in Senegal Dakar, shall suspend performance obligations without penalty to either party.
