This Purchase Order is issued by Meridian Strategic Holdings Pte. Ltd. (hereinafter referred to as the "Purchaser") to engage the services of Apex Advisory & Consulting Group Pte. Ltd. (hereinafter referred to as the "Service Provider") for the provision of professional Business Consultant services. The Business Consultant shall deliver strategic advisory, operational process improvement, and organisational transformation support as outlined below. All services shall be performed in accordance with the professional standards expected of a qualified Business Consultant operating within Singapore Singapore, and shall comply with all applicable local regulations and industry best practices.

- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore.
- Payment Schedule: Payment shall be made in monthly instalments of SGD 9,083.33 (inclusive of GST) within 30 days of receipt of a valid tax invoice from the Service Provider. The first payment shall be due upon commencement of the engagement on 1 July 2025.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, analyses, models, and deliverables produced by the Business Consultant specifically for the Purchaser under this Purchase Order shall be the sole property of the Purchaser upon full payment.
- Performance Standards: The Business Consultant shall perform all services with the degree of skill, care, and diligence expected of a reasonably competent Business Consultant in Singapore Singapore. Milestone deliverables shall be submitted for the Purchaser's review and approval within five (5) business days of completion.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable only for services rendered up to the date of termination.
- Insurance: The Service Provider shall maintain professional indemnity insurance with a minimum coverage of SGD 2,000,000 per claim throughout the duration of this Purchase Order.
- Compliance: The Business Consultant warrants that all services shall comply with the Companies Act of Singapore, the Personal Data Protection Act (PDPA) of Singapore Singapore, and all other applicable statutory requirements.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Singapore Singapore.
This Purchase Order is issued and authorised by the undersigned on behalf of Meridian Strategic Holdings Pte. Ltd. The Service Provider, by accepting this Purchase Order, confirms that the Business Consultant named herein is authorised to perform the services described and agrees to all terms and conditions set forth above.
