This Purchase Order is issued by Atlantic Ridge Holdings (Pty) Ltd to formally engage the above-named Business Consultant for a comprehensive strategic advisory engagement based in South Africa Cape Town. The Business Consultant shall provide the following professional services as outlined in this Purchase Order:

• Payment shall be made in three (3) equal instalments of R 291 333.33 (inclusive of VAT), due at the commencement of the engagement, at the midpoint (end of Week 8), and upon final delivery of the consolidated report.
• All payments referenced in this Purchase Order shall be made via electronic funds transfer (EFT) to the Business Consultant's bank account as specified in Section 1.
• Invoices must be submitted to the procurement department of Atlantic Ridge Holdings (Pty) Ltd, Cape Town, no later than five (5) business days prior to the due date.
• Late payments shall attract interest at the rate of 10% per annum, calculated on a daily basis, in accordance with the South African National Credit Act 34 of 2005.

1. This Purchase Order constitutes a binding agreement between Atlantic Ridge Holdings (Pty) Ltd and the Business Consultant upon signature by both parties. All terms are governed by the laws of the Republic of South Africa.
2. The Business Consultant shall maintain professional indemnity insurance of no less than R 5 000 000.00 for the duration of the engagement and shall provide a certificate of insurance upon request.
3. All deliverables, reports, and intellectual property produced by the Business Consultant under this Purchase Order shall become the sole property of Atlantic Ridge Holdings (Pty) Ltd upon full payment.
4. The Business Consultant is required to conduct all on-site work from the Cape Town, South Africa office at 12 Waterfront Business Park, V&A Waterfront, and shall comply with all site safety and access protocols.
5. Confidentiality: The Business Consultant shall treat all client data, financial records, and strategic information as strictly confidential in accordance with the Protection of Personal Information Act (POPIA) 4 of 2013. This obligation survives termination of this Purchase Order for a period of five (5) years.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, less any amounts already paid.
7. Disputes arising from this Purchase Order shall be resolved through mediation in Cape Town, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). If mediation fails, the matter shall be referred to the High Court of South Africa, Western Cape Division, Cape Town.
8. The Business Consultant shall not subcontract any portion of the services described in this Purchase Order without prior written consent from the procurement officer of Atlantic Ridge Holdings (Pty) Ltd.

All deliverables under this Purchase Order shall be submitted in both electronic (PDF and editable format) and hard-copy form to the designated project manager at the South Africa Cape Town office. Acceptance of each phase of work shall be confirmed in writing within ten (10) business days of submission. Failure to raise written objections within this period shall constitute deemed acceptance of the Business Consultant's deliverables.
