- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Business Consultant. The Business Consultant must sign and return a copy of this Purchase Order within five (5) business days of receipt to confirm engagement.
- Performance Location: All on-site deliverables, workshops, and client meetings shall take place at the client's registered office in Sudan Khartoum unless otherwise specified in a written amendment to this Purchase Order.
- Payment Schedule: Payment shall be made in three equal installments: 30% upon execution of this Purchase Order, 40% upon delivery of the Strategic Business Plan and Organizational Restructuring deliverables, and 30% upon completion of all remaining services. The monthly retainer for the Business Consultant advisory engagement shall be invoiced on the first business day of each month.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality over all proprietary information, trade secrets, and financial data of the client. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, models, strategies, and documents produced by the Business Consultant specifically for this engagement in Sudan Khartoum shall become the exclusive property of the client upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the client shall pay for all services rendered up to the termination date. The Business Consultant shall deliver all work-in-progress materials to the client within fourteen (14) days of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Sudan Arbitration Centre in Sudan Khartoum. The governing law shall be the laws of the Republic of Sudan.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Sudan Khartoum, or civil unrest.
- Compliance: The Business Consultant warrants that all services shall be performed in full compliance with applicable Sudanese commercial law, tax regulations, and professional ethical standards. The Business Consultant shall maintain all necessary professional liability insurance throughout the engagement period.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
