- Governing Law: This Purchase Order and all associated Business Consultant services shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, with jurisdiction vested in the courts of Tanzania Dar es Salaam.
- Payment Schedule: Payment for Business Consultant services shall be made in quarterly installments within thirty (30) calendar days of receipt of a valid invoice from Tanzania Dar es Salaam Business Advisory Group Ltd. All payments shall be made via bank transfer to the supplier's designated account in Tanzania Dar es Salaam.
- Performance Standards: The Business Consultant shall deliver all work products, reports, and strategic recommendations in accordance with the project timeline outlined in the attached Statement of Work. Failure to meet deliverable deadlines without prior written approval from the Buyer shall constitute a material breach of this Purchase Order.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, financial data, and strategic plans of East African Strategic Holdings Ltd. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: All reports, analyses, models, and deliverables produced by the Business Consultant under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Business Consultant retains no rights to reproduce or distribute such materials without written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all Business Consultant services rendered up to the date of termination, less any applicable penalties for incomplete deliverables.
- Compliance: The Business Consultant shall comply with all applicable Tanzanian labor laws, tax regulations administered by the Tanzania Revenue Authority, and professional conduct standards applicable in Tanzania Dar es Salaam. The supplier shall maintain all necessary professional licenses and registrations valid in Tanzania.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Tanzania Dar es Salaam. If unresolved within sixty (60) days, the matter shall be referred to arbitration under the Tanzania Arbitration Act, with the seat of arbitration in Tanzania Dar es Salaam.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Tanzania Dar es Salaam.
This Purchase Order constitutes a formal and binding request for Business Consultant services. By signing below, both parties acknowledge and agree to the terms, conditions, pricing, and scope of work as outlined in this document. This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue.
