1. Scope of Engagement: This Purchase Order authorizes the engagement of Siam Strategic Advisory Group as the designated Business Consultant for Chulalongkorn Ventures Co., Ltd. All consulting services shall be performed primarily at the buyer's offices located in Thailand Bangkok, with the option for remote advisory sessions as mutually agreed upon by both parties.
2. Payment Schedule: Payment shall be made in three equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the midpoint review (October 2025), and 25% upon final delivery of all deliverables and acceptance by the buyer. All payments shall be processed via bank transfer to the Business Consultant's designated account in Thailand Bangkok.
3. Deliverables: The Business Consultant shall provide all reports, strategic plans, financial models, and training materials in both English and Thai. All deliverables must be submitted in electronic format (PDF and editable documents) within five (5) business days of the completion of each phase.
4. Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years in accordance with the Thai Civil and Commercial Code.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to the buyer.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this engagement shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute.
7. Intellectual Property: All reports, analyses, and materials created specifically for the buyer under this Purchase Order shall become the sole property of Chulalongkorn Ventures Co., Ltd. upon full payment. The Business Consultant retains the right to use anonymized methodologies and general frameworks in future engagements.
8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government regulations affecting business operations in Thailand Bangkok, or public health emergencies.
