1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Business Consultant. The Business Consultant must confirm acceptance in writing within five (5) business days of receipt of this document.
2. Performance Period: The Business Consultant shall commence services on 1 July 2025 and complete all deliverables no later than 30 September 2025, unless otherwise extended by mutual written agreement.
3. Work Location: All on-site consultations, workshops, and meetings shall take place at the Purchasing Entity's premises in Turkey Ankara, specifically at the Çankaya District office. The Business Consultant is responsible for their own travel and accommodation within the Ankara metropolitan area.
4. Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon contract execution, 40% upon delivery of the mid-term progress report, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Business Consultant's designated account in Turkey.
5. Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of Anatolia Enterprise Solutions A.Ş. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
6. Intellectual Property: All reports, analyses, models, and work products created specifically for the Purchasing Entity under this Purchase Order shall be the sole intellectual property of Anatolia Enterprise Solutions A.Ş. upon full payment.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Business Consultant shall be compensated for all services rendered up to the date of termination.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts in Ankara, Turkey.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Ankara region.
10. Compliance: The Business Consultant warrants that they hold all necessary professional licenses and registrations to provide consulting services in Turkey and specifically within the Ankara jurisdiction. The Business Consultant shall comply with all applicable Turkish labor, tax, and commercial regulations.

This Purchase Order has been reviewed and authorized by the undersigned representatives of both parties. By signing below, both the Purchasing Entity and the Business Consultant acknowledge and agree to all terms, conditions, and obligations set forth in this document. This Purchase Order constitutes the complete and final agreement between the parties regarding the engagement of Business Consultant services in Turkey Ankara and supersedes all prior negotiations, representations, or agreements.
