1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order relating to the Business Consultant engagement in Turkey Istanbul shall be subject to the exclusive jurisdiction of the Istanbul Courts and Arbitration Centers.
2. Payment Terms: Payment shall be made in Turkish Lira (TRY) via bank transfer to the Business Consultant's designated account. Invoices are due within thirty (30) calendar days from the date of invoice issuance. A 1.5% monthly late-payment interest shall apply in accordance with Turkish commercial law.
3. Commencement and Duration: The Business Consultant engagement shall commence on 1 July 2025 and shall continue for a total period of twenty-four (24) weeks, subject to the phased delivery schedule outlined in the attached Statement of Work.
4. Deliverables: All reports, presentations, and strategic documents produced by the Business Consultant shall be delivered in both Turkish and English. Final deliverables for each phase must be submitted to the Buyer's Project Management Office in Istanbul, Turkey, no later than the deadlines specified in the project timeline.
5. Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and financial data of Anatolia Enterprise Solutions A.Ş. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Intellectual Property: All work product, methodologies, and frameworks developed specifically for the Buyer under this Purchase Order shall be the sole intellectual property of Anatolia Enterprise Solutions A.Ş. The Business Consultant retains ownership of pre-existing tools and templates.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Turkey Istanbul region.
9. On-Site Requirements: The Business Consultant is expected to be physically present at the Buyer's Istanbul office for a minimum of three (3) full business days per week. Remote work from other locations within Turkey Istanbul is permissible for the remaining days, subject to prior approval by the Buyer's Project Lead.
10. Insurance: The Business Consultant shall maintain professional liability insurance with a minimum coverage of TRY 5,000,000 for the duration of the engagement in Turkey Istanbul.
