• Payment shall be made in AED (UAE Dirham) via bank transfer to the Business Consultant's designated corporate account in Abu Dhabi, United Arab Emirates.
• 30% advance payment (AED 194,985.00) due within ten (10) business days of acceptance of this Purchase Order.
• 40% milestone payment (AED 259,980.00) due upon completion of the strategic roadmap and operational audit deliverables.
• 30% final payment (AED 194,985.00) due within fifteen (15) business days of project closure and final acceptance of all deliverables.
• Invoices must reference this Purchase Order number (AD-2025-04871) and include the Business Consultant's VAT registration number.
• Late payments shall attract a penalty of 1.5% per month as per UAE commercial practice, subject to the terms of the Federal Civil Transactions Law.

• This Purchase Order is governed by and shall be construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Companies Law and the Abu Dhabi Emirate commercial regulations.
• The Business Consultant shall maintain full professional confidentiality regarding all proprietary information, trade secrets, and strategic data of Al Noor Strategic Holdings LLC. A separate Non-Disclosure Agreement (NDA) executed on 10 June 2025 remains in full force.
• All deliverables produced by the Business Consultant shall be the exclusive intellectual property of the issuing entity upon full payment.
• The Business Consultant is required to comply with all applicable UAE labour, data protection (UAE Data Protection Law Federal Decree-Law No. 45 of 2021), and anti-bribery regulations while performing services in Abu Dhabi.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date.
• Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Commercial Court, or alternatively through arbitration under the rules of the Abu Dhabi Global Market (ADGM) Financial and Commercial Arbitration Institute.
• This Purchase Order does not constitute a partnership, joint venture, or agency relationship between the parties.
• The Business Consultant shall carry professional indemnity insurance with a minimum coverage of AED 2,000,000, valid throughout the engagement period in Abu Dhabi, United Arab Emirates.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Business Consultant in Abu Dhabi, United Arab Emirates.
