This Purchase Order is issued by Meridian Strategic Holdings Ltd. to formally engage the services of a qualified Business Consultant provided by Apex Business Advisory Partners LLP. All deliverables, reports, and strategic recommendations produced under this Purchase Order shall be prepared in accordance with the professional standards set by the Chartered Management Institute (CMI) and shall comply with all applicable data protection regulations under the United Kingdom General Data Protection Regulation (UK GDPR).

- Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by Apex Business Advisory Partners LLP within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- Commencement: The Business Consultant engagement shall commence on 1 July 2025, subject to mutual agreement on a detailed project timeline and access arrangements at the United Kingdom Birmingham office.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date via bank transfer to the account details specified by the Supplier. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Confidentiality: The Business Consultant shall maintain strict confidentiality regarding all proprietary information, trade secrets, and commercially sensitive data encountered during the engagement in United Kingdom Birmingham. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
- Intellectual Property: All reports, strategies, models, and deliverables produced specifically for Meridian Strategic Holdings Ltd. under this Purchase Order shall become the sole intellectual property of the Buyer upon full payment.

- Governing Law: This Purchase Order and any disputes arising therefrom shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.
- Insurance: The Business Consultant shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of the engagement.
- Health and Safety: The Business Consultant shall comply with all health and safety policies and procedures in effect at the Buyer's United Kingdom Birmingham premises, including completing any required induction training prior to on-site work.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics.
