All payments shall be made via BACS transfer to the account details specified by the Business Consultant. 4. Confidentiality: The Business Consultant shall treat all information, data, trade secrets, and proprietary materials of Northbridge Industrial Holdings Ltd as strictly confidential. 5. Intellectual Property: All reports, models, roadmaps, and deliverables produced by the Business Consultant under this Purchase Order shall become the sole intellectual property of Northbridge Industrial Holdings Ltd upon full payment of the Purchase Order value.
6. Insurance: The Business Consultant shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of the engagement in United Kingdom Manchester.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, less any amounts already paid.
