5.1 This Purchase Order constitutes a binding agreement between Gulf Coast Energy Partners LLC and Lone Star Strategic Advisory Group for the provision of Business Consultant services as described herein. All work shall be performed in or around United States Houston, Texas, unless otherwise agreed in writing.
5.2 The Business Consultant shall maintain full confidentiality of all proprietary information, trade secrets, and financial data accessed during the engagement. A separate Non-Disclosure Agreement (NDA) is attached as Exhibit A to this Purchase Order.
5.3 Invoicing shall be submitted bi-weekly, with detailed time logs and deliverable summaries. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at 1.5 percent per month.
5.4 The Business Consultant is engaged as an independent contractor and not as an employee of the purchasing party. The Business Consultant shall be responsible for all applicable federal, state, and local taxes, including those levied in the United States Houston jurisdiction.
5.5 Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Business Consultant shall be compensated for all services rendered through the effective date of termination.
5.6 All deliverables, reports, and intellectual property created specifically for Gulf Coast Energy Partners LLC under this Purchase Order shall become the sole property of the purchasing party upon full payment.
5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
5.8 The Business Consultant shall comply with all applicable United States federal regulations, Texas state labor laws, and United States Houston municipal ordinances throughout the duration of this engagement.
