- Governing Law: This Purchase Order and all associated Business Consultant services shall be governed by and construed in accordance with the laws of the State of New York and applicable federal laws. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in the United States New York City (New York County, New York).
- Payment Terms: Payment shall be due within thirty (30) calendar days from the date of invoice receipt. Invoices shall be submitted electronically to the buyer's accounts payable department. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted under New York State law, whichever is lower.
- Service Delivery: The Business Consultant shall commence services no later than June 23, 2025, and shall complete all project deliverables by December 15, 2025, unless otherwise agreed in writing. All on-site work shall be conducted at the buyer's premises located in the United States New York City, or at mutually agreed-upon locations within the five boroughs.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. The Business Consultant shall comply with all data protection requirements applicable in the United States New York City jurisdiction.
- Intellectual Property: All reports, analyses, models, and deliverables produced by the Business Consultant specifically for the buyer under this Purchase Order shall be the sole and exclusive property of the buyer upon full payment. The Business Consultant retains the right to use general methodologies and frameworks not specific to the buyer.
- Insurance and Indemnification: The Business Consultant shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate, as well as workers' compensation insurance as required by New York State law. The Business Consultant shall indemnify and hold harmless the buyer from any claims arising from the negligent performance of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all Business Consultant services rendered up to the date of termination. The Business Consultant shall deliver all work-in-progress materials within fourteen (14) days of termination.
- Independent Contractor Status: The Business Consultant is engaged as an independent contractor and not as an employee, agent, or partner of the buyer. The Business Consultant is solely responsible for all federal, state, and local tax obligations, including but not limited to New York City income tax withholding and self-employment tax.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, or events specific to the United States New York City area that render performance impossible or impracticable.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the scope of Business Consultant services are expressly prohibited.
