This Purchase Order is issued by Silk Road Enterprise Solutions LLC to formally engage the services of a qualified Business Consultant operating in Uzbekistan Tashkent. The Business Consultant shall provide comprehensive strategic advisory, operational restructuring, and market-entry analysis services as detailed in the line items below. All deliverables and on-site consultations shall be performed within the administrative boundaries of Tashkent, the capital city of Uzbekistan, unless otherwise agreed in writing by both parties.

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule:

• 30% Advance Payment: USD 9,072.00 due within ten (10) business days of the Business Consultant's written acceptance of this Purchase Order.
• 40% Milestone Payment: USD 12,096.00 due upon delivery and acceptance of the Strategic Business Plan and Operational Audit reports.
• 30% Final Payment: USD 9,072.00 due within fifteen (15) business days after completion of the six-month retainer period and delivery of all final documentation.

All payments shall be remitted via bank transfer to the vendor's account as specified in Section 2. The Business Consultant shall issue a valid Uzbek VAT invoice (sчёт-faktura) for each payment tranche in accordance with the Tax Code of the Republic of Uzbekistan.

All on-site services shall be performed at the buyer's premises located at 42 Amir Temur Avenue, Mirzo Ulugbek District, Tashkent, Uzbekistan, or at such other location within Tashkent as mutually agreed. The Business Consultant shall commence work no later than 1 July 2025 and shall complete all deliverables by 31 December 2025. The Business Consultant is expected to be physically present in Uzbekistan Tashkent for a minimum of three (3) days per month during the retainer period.

1. This Purchase Order is governed by the Civil Code of the Republic of Uzbekistan and applicable commercial legislation. Any disputes arising from this Purchase Order shall be resolved through the Tashkent Arbitration Court, Uzbekistan.
2. The Business Consultant warrants that all advice, analyses, and recommendations provided shall be accurate, current, and based on professional best practice. The Business Consultant shall maintain professional indemnity insurance with a minimum coverage of USD 250,000 for the duration of the engagement.
3. Confidentiality: The Business Consultant shall treat all proprietary information, financial data, and strategic plans of the buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4. Intellectual Property: All reports, presentations, and written deliverables produced by the Business Consultant specifically for the buyer under this Purchase Order shall become the exclusive property of the buyer upon full payment.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date.
6. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public-health emergencies affecting Uzbekistan Tashkent.
7. The Business Consultant shall comply with all applicable labor, tax, and immigration regulations of the Republic of Uzbekistan while performing services in Tashkent.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of services outlined in this Purchase Order for the engagement of the Business Consultant in Uzbekistan Tashkent.

This Purchase Order (PO-UZ-TSK-2025-0047) constitutes a binding commercial agreement between the parties upon execution. It is issued in two (2) original copies, one for each party. All communications regarding this Purchase Order, including amendments, change orders, and service confirmations, shall be made in writing and directed to the contact persons listed above in Tashkent, Uzbekistan. The Business Consultant acknowledges receipt of this Purchase Order and confirms availability to commence services as per the schedule in Section 6.
