This Purchase Order is issued by Andes Corporate Solutions C.A. to formally engage the services of the above-named Business Consultant for the provision of strategic advisory, operational optimization, and organizational development services. The Business Consultant shall perform all professional duties within the metropolitan area of Venezuela Caracas, with primary on-site work conducted at the buyer's headquarters located in Chacao, Venezuela Caracas. - Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Business Consultant and countersignature by both parties. The Business Consultant shall return a signed copy of this Purchase Order within five (5) business days of receipt.
- Performance Period: All services outlined in this Purchase Order shall be performed between July 1, 2025, and December 31, 2025. The Business Consultant shall maintain a minimum of three (3) on-site working days per week at the buyer's premises in Venezuela Caracas.
- Payment Terms: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the mid-project deliverables (week 12), and 25% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the account designated by the Business Consultant in the banking system of Venezuela Caracas.
- Deliverables: The Business Consultant shall submit all reports, strategic plans, and recommendations in both Spanish and English. All final deliverables must be presented in person at the buyer's office in Venezuela Caracas unless otherwise agreed in writing.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, financial data, and strategic plans of Andes Corporate Solutions C.A. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall compensate the Business Consultant for all services rendered up to the date of termination, as documented in the project log maintained in Venezuela Caracas.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government decrees, or economic disruptions affecting the Venezuela Caracas region.
- Intellectual Property: All reports, analyses, and strategic documents produced by the Business Consultant under this Purchase Order shall become the exclusive property of Andes Corporate Solutions C.A. upon full payment.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding scope, timeline, or compensation are not valid under this Purchase Order.
The buyer acknowledges that the Business Consultant is an independent contractor and not an employee of Andes Corporate Solutions C.A. The Business Consultant shall be responsible for all applicable professional insurance, liability coverage, and tax obligations in the Republic of Venezuela. All work related to this Purchase Order shall be conducted in compliance with Venezuelan labor regulations, data protection laws (Ley Orgánica de Protección de Datos Personales), and commercial codes applicable in Venezuela Caracas. The buyer reserves the right to request interim progress reports every two (2) weeks to ensure alignment with the strategic objectives outlined in this Purchase Order.
