This Purchase Order is issued by Saigon Enterprise Solutions Co., Ltd. to formally engage the services of a qualified Business Consultant through Mekong Advisory & Consulting Group JSC. Payment under this Purchase Order shall be made in accordance with the following milestone-based schedule. All invoices must reference Purchase Order No. HCMC-BC-2025-0047 and shall be submitted to the buyer's accounts payable department located in Vietnam Ho Chi Minh City:

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon written acceptance by both parties. The Business Consultant engaged under this Purchase Order shall act with the highest degree of professional diligence, confidentiality, and ethical conduct at all times.
4.2 The Business Consultant shall maintain full confidentiality of all proprietary information, trade secrets, and business data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4.3 All services shall be performed primarily at the Buyer's offices in Vietnam Ho Chi Minh City, or at such other locations within Vietnam Ho Chi Minh City as mutually agreed in writing. Remote consultations may be conducted via secure video conferencing as needed.
4.4 The Seller warrants that the Business Consultant assigned to this Purchase Order possesses a minimum of ten (10) years of relevant experience in strategic consulting, operations management, and market analysis within the Vietnamese and Southeast Asian business environment.
4.5 Any changes to the scope of work, timeline, or deliverables under this Purchase Order must be documented in a written change order signed by both parties before implementation.
4.6 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration in Vietnam Ho Chi Minh City in accordance with the rules of the Vietnam International Arbitration Centre (VIAC).
4.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code, the Commercial Law, and applicable tax regulations.
Note: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The Business Consultant services described herein are subject to the Buyer's internal compliance review and final sign-off by the Board of Directors of Saigon Enterprise Solutions Co., Ltd. All work performed under this Purchase Order in Vietnam Ho Chi Minh City must comply with local labor regulations, data protection laws, and professional licensing requirements.By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Business Consultant in Vietnam Ho Chi Minh City.
