Terms and Conditions of this Purchase Order
- Scope of Work: The Carpenter identified in this Purchase Order shall execute all carpentry tasks, fabrication, and installation as described in the line items above. All work shall be performed at the project site in the city of Córdoba, Argentina, and at the Carpenter's workshop in Alta Córdoba, Argentina Córdoba.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon delivery of 50% of the carpentry items, and 30% upon final acceptance and sign-off by the project engineer. All payments shall be made via bank transfer to the account of Talleres de Carpintería El Roble Ltda. in Córdoba, Argentina.
- Quality Standards: All woodwork produced by the Carpenter must comply with the Argentine IRAM standards for wood products and the specific technical specifications provided in Annex A of this Purchase Order. Any material not meeting the agreed grade shall be rejected at no additional cost to the buyer.
- Delivery and Logistics: The Carpenter is responsible for the safe transport of all fabricated items from the workshop in Argentina Córdoba to the construction site. Any damage during transit shall be repaired or replaced by the Carpenter within five (5) business days at no extra charge.
- Warranty: The Carpenter provides a warranty of twenty-four (24) months on all carpentry work and materials covered by this Purchase Order, commencing from the date of final acceptance. This warranty covers defects in workmanship, structural integrity, and material quality.
- Regulatory Compliance: The Carpenter shall ensure that all operations comply with the labor regulations of the Province of Córdoba, Argentina, the environmental regulations of the Municipalidad de Córdoba, and the safety standards mandated by the Argentine Ministry of Labor. The Carpenter must maintain valid insurance coverage for all personnel working under this Purchase Order.
- Change Orders: Any modification to the scope, quantities, or specifications of this Purchase Order must be documented in a written Change Order signed by both parties. No additional work by the Carpenter shall be compensated unless authorized in writing prior to execution.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in the city of Córdoba, Argentina. If mediation fails, the matter shall be submitted to the competent commercial courts of the Judicial District of Córdoba, Argentina.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Argentina Córdoba, or supply chain disruptions affecting the Carpenter's ability to source materials.
- Confidentiality: Both parties agree to maintain the confidentiality of all technical drawings, project plans, and commercial terms contained in or related to this Purchase Order. This obligation survives the termination of the Purchase Order for a period of three (3) years.
