The Carpenter contractor shall commence work on the project site in Belgium Brussels no later than 1 July 2025 and shall complete all carpentry and woodwork tasks by 30 September 2025. All materials ordered under this Purchase Order must be delivered to the Brussels site no later than 25 June 2025. The Carpenter firm is responsible for coordinating deliveries within the Brussels-Capital Region and must obtain any necessary permits for vehicle access on restricted streets in central Brussels. Work hours shall conform to Belgian regulations: Monday to Friday, 07:00–18:00, with no work permitted on Sundays or Belgian public holidays without prior written approval from the Purchaser.
5. Payment Terms- Advance Payment: 20% of the total Purchase Order value (EUR 30,339.54) shall be paid within 14 calendar days of the issue date of this Purchase Order, upon receipt of a valid Belgian VAT invoice.
- Progress Payment: 40% (EUR 60,679.08) shall be payable upon completion of the structural carpentry and joinery phases, subject to written acceptance by the Purchaser's site supervisor in Brussels.
- Final Payment: The remaining 40% (EUR 60,679.08) shall be due within 30 calendar days of the final handover and sign-off of all Carpenter work, following a joint inspection conducted at the Brussels project site.
- All payments shall be made via bank transfer to the Belgian bank account of the Carpenter contractor as specified on the invoice. Late payments shall incur interest at the rate prescribed by Belgian law (Article 5:111 of the Belgian Code of Economic Law).
- This Purchase Order is governed by the laws of Belgium and shall be interpreted in accordance with the Belgian Civil Code and the Code of Economic Law. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
- The Carpenter contractor warrants that all work performed under this Purchase Order shall be executed in a workmanlike manner, in full compliance with Belgian building regulations, the Brussels-Capital Region urban planning rules, and all applicable safety and environmental standards in force in Belgium Brussels.
- The Carpenter firm shall maintain valid professional liability insurance and workers' compensation coverage as required by Belgian law for the entire duration of the project. Certificates of insurance shall be provided to the Purchaser prior to commencement of work.
- All timber and wood products supplied under this Purchase Order must carry valid FSC or PEFC certification and comply with the Belgian and EU regulations on timber legality (EU Timber Regulation 2010/690/EU).
- The Carpenter contractor shall provide a minimum 24-month warranty on all carpentry work and joinery delivered under this Purchase Order, commencing from the date of final acceptance in Brussels.
- Any changes to the scope of work, quantities, or specifications must be documented in a written amendment to this Purchase Order, signed by both parties, before execution. Verbal instructions shall not constitute a valid modification.
- The Carpenter contractor is responsible for the safe and orderly management of the work site in Belgium Brussels, including waste disposal in accordance with the Brussels-Capital Region waste management regulations and the maintenance of a clean and hazard-free environment for all personnel.
