All Carpenter services under this Purchase Order shall be performed at the following location in Canada Montreal:
Project Site: 2200 Avenue du Mont-Royal, Plateau-Mont-Royal, Montreal, Quebec, Canada H2V 1J9
The Carpenter shall coordinate access with the site manager no fewer than 48 hours in advance of each work session. All materials and equipment shall be staged on-site in accordance with the City of Montreal’s by-law regarding sidewalk and street obstruction (By-law 00-254). The Carpenter is responsible for obtaining any required permits from the Arrondissement du Plateau-Mont-Royal prior to commencing structural work.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada applicable in the Province of Quebec. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the judicial district of Montreal, Canada.
- Payment Terms: Payment shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the Carpenter’s designated bank account within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed under the Civil Code of Quebec (currently 5% per annum).
- Warranty: The Carpenter warrants that all work performed under this Purchase Order shall be free from defects in materials and workmanship for a period of two (2) years from the date of final acceptance. This warranty is in addition to any statutory warranties under Quebec law.
- Insurance and Indemnification: The Carpenter shall maintain, at their own expense, commercial general liability insurance of no less than $2,000,000 CAD per occurrence and workers’ compensation coverage through the CNESST (Commission des normes, de l’équité, de la santé et de la sécurité du travail du Québec) for the duration of the project.
- Compliance: The Carpenter shall comply with all applicable federal, provincial, and municipal regulations in Canada Montreal, including but not limited to the Occupational Health and Safety Act (Loi sur la santé et la sécurité du travail), the Environmental Protection Act, and the City of Montreal’s noise and construction by-laws.
- Change Orders: Any modification to the scope of Carpenter services described in this Purchase Order must be documented in a written change order signed by both parties prior to execution. No additional compensation shall be owed for work not expressly authorized in writing.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of termination, the Carpenter shall be compensated for all work completed and materials procured up to the date of termination, less any applicable set-off.
- Confidentiality: Both parties agree to maintain the confidentiality of all proprietary information exchanged in connection with this Purchase Order, in accordance with the Privacy Act (Canada) and the Act respecting the protection of personal information in the private sector (Quebec).
- Dispute Resolution: In the event of a dispute, the parties shall first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter may be submitted to mediation or arbitration under the rules of the ADR Institute of Canada, with proceedings conducted in Montreal, Quebec.
- Language: This Purchase Order is executed in English. In the event of any discrepancy between the English and French versions, the French version shall prevail, in accordance with the Charter of the French Language (Loi 101) applicable in Canada Montreal.
By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for Carpenter services to be performed in Canada Montreal.
