- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Supplier within five (5) business days of the date of issue. The Supplier shall return a signed copy of this Purchase Order to the Buyer's procurement office in China Shanghai.
- Performance: The Carpenter team shall commence work on-site no later than 1 July 2025 and shall complete all deliverables by 30 August 2025. Any delay beyond the stipulated completion date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Quality Standards: All woodwork and Carpenter craftsmanship shall conform to the GB/T 3324-2017 national standard for wooden furniture and the project-specific tolerances (±1.5 mm for panel joints, ±0.5 mm for moulding profiles). The Buyer reserves the right to reject any work that does not meet these specifications.

- Payment Schedule: 30% advance payment upon Purchase Order acceptance; 40% upon completion of wall paneling and cabinetry (interim milestone inspection); 25% upon completion of all installation work; 5% final retention released 60 days after final acceptance and handover.
- Insurance and Liability: The Supplier (Carpenter workshop) shall maintain comprehensive liability insurance of no less than ¥ 10,000,000 covering all personnel and equipment on-site in China Shanghai. The Supplier assumes full responsibility for any damage to existing structures or third-party property caused by the Carpenter crew.
- Health, Safety, and Compliance: The Carpenter team shall adhere to all occupational safety regulations enforced by the Shanghai Municipal Housing and Urban-Rural Development Commission. Daily safety briefings and proper PPE (respiratory masks, safety glasses, hearing protection) are mandatory.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the Shanghai Arbitration Commission in accordance with its rules of procedure.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with jurisdiction vested in the competent courts of China Shanghai.
