- Scope of Work: The Carpenter, Maestro Carlos Alberto Restrepo Gómez, shall perform all carpentry, woodwork, and related installation services as detailed in the line items above at the designated project site in Colombia Medellín. All work must comply with the Colombian National Construction Code (NTC) and the municipal building regulations of the Alcaldía de Medellín.
- Timeline: The Carpenter shall commence work on June 20, 2025, and complete all deliverables no later than July 30, 2025. A detailed weekly schedule must be submitted to the project manager within five (5) business days of this Purchase Order's acceptance.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon signing and commencement of work, 40% upon completion of items 01 through 04, and 30% upon final inspection and acceptance. All payments will be made via bank transfer to the account specified by the Carpenter. Invoices must include the NIT and be issued in accordance with Colombian tax regulations (DIAN).
- Materials: The Carpenter is responsible for sourcing all wood, hardware, adhesives, finishes, and auxiliary materials unless otherwise noted. All wood species used must be legally sourced and comply with the Colombian Forestry Authority (ICF) regulations. The Carpenter must provide chain-of-custody documentation for all hardwood species.
- Quality Standards: All carpentry work must meet the specifications outlined in the attached technical drawings (Annex A). Finishes must be suitable for the humid subtropical climate of Colombia Medellín. The Carpenter warrants all workmanship for a period of twelve (12) months from the date of final acceptance.
- Insurance and Liability: The Carpenter shall maintain valid workers' compensation insurance (Arl) and general liability insurance throughout the duration of this Purchase Order. The Carpenter assumes full responsibility for any damage to the property or injury to persons occurring during the execution of the work at the Colombia Medellín site.
- Site Access and Compliance: The Carpenter and any sub-employees must comply with all site safety protocols established by Andina Construction & Interiors S.A.S. Work hours at the Colombia Medellín site are Monday through Friday, 7:00 AM to 5:00 PM, and Saturday 7:00 AM to 1:00 PM. The Carpenter must obtain any necessary permits from the Secretaría de Planeación de Medellín prior to structural modifications.
- Change Orders: Any modifications to the scope of work must be documented in a written Change Order signed by both parties. No additional work shall be performed without prior written authorization. Pricing for changes will be negotiated in good faith and shall not exceed 15% above the unit prices stated in this Purchase Order.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the buyer for cause (failure to meet deadlines, substandard work, or breach of contract), the Carpenter shall be compensated only for work satisfactorily completed up to the termination date.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the civil and commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the competent courts of Medellín, Antioquia, Colombia.
- Confidentiality: The Carpenter agrees to maintain strict confidentiality regarding the project details, architectural plans, and client information associated with this Purchase Order. This obligation survives the termination of this agreement for a period of two (2) years.
